Terms & Conditions

Please read these Terms & Conditions ("Terms") carefully before using the Lowkey Audio Engine software (the "Service") operated by LatteBits ("us", "we", or "our").

1. License Grant

Upon purchase of a Studio License, LatteBits grants you a non-exclusive, non-transferable, limited license to use the Lowkey Audio Engine.

Device Limit: A single license grants usage on up to three (3) personal machines owned and operated by the purchaser.
You may not rent, lease, lend, sell, or redistribute the software to third parties.

2. Intellectual Property

The software, including its AI detection algorithms, modulation mapping, and energy profiling core, is the intellectual property of LatteBits. You agree not to:

  • Reverse-engineer, decompile, or disassemble the binary files.
  • Modify or create derivative works based on the software.
  • Circumvent or attempt to bypass any license verification systems.
Unauthorized modification will result in immediate license revocation without refund.

3. Payments and Refunds

All transactions are securely processed by our third-party Merchant of Record, Lemon Squeezy.

  • Lifetime Access: Your purchase is a one-time fee for the current major version and all subsequent minor updates (v1.x).
  • Final Sale: Due to the digital nature of the software, all purchases are final. We encourage users to verify system compatibility before purchasing.
  • Payment Integrity & Session Manipulation: Users are strictly prohibited from manipulating the checkout pipeline, opening multiple simultaneous payment windows, or deliberately generating concurrent checkout sessions.
  • Liability for Duplicate Charges: If you intentionally or through gross negligence complete multiple payment transactions for a single product allocation (e.g., executing two distinct checkout forms within a overlapping 10-minute active checkout window), you assume complete financial liability for the resulting extra transactions.
  • Refund Policy for Manipulation: Any duplicate payments resulting from user-side manipulation or circumvention of checkout guidelines will be reviewed and refunded entirely at our sole discretion. Any non-refundable transaction processing margins, platform administrative charges, or banking currency conversion spreads kept by Lemon Squeezy will be fully deducted from your final refunded amount.

4. Connectivity & Verification

Lowkey Audio Engine requires an active internet connection to verify your license key. While your audio files are processed locally and never uploaded, the app will periodically "check-in" with our servers to ensure your license remains valid.

5. Disclaimer of Warranty

The software is provided "AS IS", without warranty of any kind. While we strive for millisecond-perfect BPM and key detection, LatteBits does not guarantee that the software will meet your specific requirements or be error-free.

6. Limitation of Liability

In no event shall LatteBits be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the software.
